LE COEUR PILATES – TERMS AND CONDITIONS OF USE & LIABILITY WAIVER

1. Definitions and Interpretation
1.1 In this Agreement, unless the context otherwise requires, the following expressions shall have the following meanings:
"Agreement" means these Terms and Conditions, together with any schedules, appendices, or amendments hereto;
"Company" means Le Coeur Collective Limited, a company incorporated in Hong Kong with its registered office at [Registered Office Address], operating under the trade name "Le Coeur Pilates";
"Member" means any individual who has completed the Registration Process and whose registration has been accepted by the Company;
"Registration Process" means the submission of a completed registration form, whether electronically via the Website or in physical form at the Studio;
"Session" means any reformer Pilates class, private training session, workshop, or other fitness activity conducted by or on behalf of the Company at the Studio;
"Studio" means the premises located at 6F Xiu Ping Commercial Building, 104 Jervois Street, Sheung Wan, Hong Kong;
"Website" means the Company's official website at [www.lecoeurpilates.com].
1.2 Words importing the singular include the plural and vice versa. Headings are for convenience only and do not affect interpretation.
2. General Terms
2.1 This Agreement constitutes the entire understanding between the Member and the Company regarding the subject matter herein and supersedes all prior agreements, understandings, or representations.
2.2 The Company reserves the right to amend these terms at any time by posting revised terms on the Website. Continued use of the Studio constitutes acceptance of such amendments.
3. Booking and Cancellation Policy
3.1 All Sessions must be booked in advance through the Company's designated booking system.
3.2 Members may cancel or reschedule a Session without penalty by providing not less than 24 hours' prior notice before the scheduled commencement time.
3.3 Failure to provide timely notice of cancellation or non-attendance shall result in forfeiture of the Session fee.
3.4 The Company reserves the absolute right to:
(a) Modify Session schedules, instructors, or programming;
(b) Refuse admission to any Member;
(c) Cancel Sessions due to unforeseen circumstances, in which case alternative arrangements or refunds may be offered at the Company's sole discretion.
4. Health and Safety Acknowledgement
4.1 The Member hereby represents and warrants that:
(a) They are in good physical condition and have no medical condition that would prevent their safe participation in Sessions;
(b) They have consulted with a qualified medical practitioner regarding their ability to participate if they have any health concerns;
(c) They will immediately inform the instructor of any discomfort or pain experienced during a Session.
4.2 The Member acknowledges that:
(a) Participation in reformer Pilates involves inherent risks including but not limited to musculoskeletal injuries, cardiovascular complications, and aggravation of pre-existing conditions;
(b) The Company does not provide medical advice and any guidelines offered by instructors are not substitutes for professional medical consultation.
5. Emergency Medical Authorization
5.1 In the event of a medical emergency, the Member hereby:
(a) Authorizes the Company and its representatives to obtain emergency medical treatment on the Member's behalf;
(b) Accepts full financial responsibility for all costs associated with such medical treatment;
(c) Releases the Company from any liability related to such medical decisions or treatment.
6. Liability Waiver and Indemnification
6.1 To the fullest extent permitted by law, the Member hereby releases, waives, and discharges the Company, its directors, officers, employees, contractors, and agents from:
(a) Any and all liability for personal injury, death, or property damage arising from participation in Sessions, except where caused by gross negligence or willful misconduct;
(b) Any claims related to the loss, theft, or damage of personal property brought into the Studio premises.
6.2 The Member agrees to indemnify and hold harmless the Company against:
(a) Any claims brought by third parties arising from the Member's use of the Studio;
(b) All costs (including legal fees) incurred in defending such claims.
7. Studio Policies and Member Conduct
7.1 Personal Belongings:
(a) Lockers are provided for temporary storage only;
(b) The Company accepts no responsibility for lost or stolen items;
(c) Items left in lockers beyond Session times may be removed and disposed of at the Company's discretion.
7.2 Attire and Equipment:
(a) Non-slip socks are mandatory during Sessions;
(b) Members must provide their own towels (the Company does not provide towel service).
7.3 Photography and Videography:
(a) Members may capture personal media for non-commercial purposes;
(b) The Company retains the right to use any media captured in the Studio for promotional purposes unless the Member provides written objection;
(c) Commercial photography requires prior written authorization.
8. Intellectual Property
8.1 All choreography, teaching methods, and materials provided during Sessions constitute the Company's proprietary intellectual property and may not be recorded, reproduced, or commercially exploited without express written permission.
9. General Provisions
9.1 Severability: If any provision of this Agreement is held invalid, the remainder shall continue in full force and effect.
9.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
9.3 Jurisdiction: The parties submit to the exclusive jurisdiction of the Hong Kong courts.
